Keith Oh is a corporate counsel specialising in mergers and acquisitions with a strong focus on venture and growth stage investments. He co-leads the firm’s start-ups and venture capital practice group and has worked on a wide range of private and public transactions on both buy and sell side.

He has substantial experience advising regional tech start-ups on fund-raising, founder’s rights/ restrictions, acquisitions and joint ventures, employee incentives, IP and tech protection, regional expansion, exits and other relevant matters. He strives to understand the core strengths of the business and works alongside his clients to develop strategies for fund-raising, hiring and IP protection to unlock value and reinforce its competitive advantage.

He also has diverse experience across both contentious and non-contentious matters including commercial contractual disputes, personal injury matters, capital markets and wills and trusts.

  • advised ErudiFi, a Singapore-headquartered startup providing access to affordable education financing in Southeast Asia, in its US$15 million debt financing facility extended by fintech firm Helicap. The funding will be utilised to support the needs of students across the Philippines and Indonesia by offering them affordable tuition instalment plans.
  • advised Lummo (fka BukuKas), an Indonesia-based startup that helps micro, small and medium enterprises (MSMEs) build retail websites and do digital bookkeeping, as Singapore counsel in its US$80 million Series C round led by Tiger Global and Sequoia Capital India with participation from Alphabet’s investment arm CapitalG, NuvemShop CEO Santiago Sosa, Jeff Bezos and former Lazada CEO Max Bittner.
  • advised Temasek-backed Vertex Ventures as lead investor in a US$30 million Series A extension financing into Aruna, an end-to-end supply chain aggregator that helps over 26,000 Indonesian fisherfolk sell to enterprise-scale buyers across 8 countries, with participation from existing investors Prosus Ventures, AC Ventures, East Ventures Growth Fund, Indogen Capital, SMDV and SIG Venture Capital bringing the total Series A funding to US$65 million which will be used to supercharge its expansion.
  • advised Xnergy in its pre-Series A funding round led by FineWill investments, the funds of which will be used to develop the Chinese market by launching a development center in Suzhou, China to produce and localize the next-generation product and develop an artificial intelligence platform.
  • assisted TurtleTree Labs, an agritech start-up, in its Singapore restructuring in connection with its US$32.9 million Series A funding round led by VERSO Capital, coupled with the firms’ previous $3.2 million and $6.2 million seed and pre-A funding, respectively. Moving forward, TurtleTree expects to carve out a significant share of the traditional dairy market, between 5-10%, and it plans to become “one of the biggest players” in the sustainable food industry, the company noted.
  • advised Morning (fka Akronym), a Singapore-based coffee tech startup, in its US$1.3 million pre-series A round led by zVentures, the corporate venture arm of multinational technology firm Razer with participation from The Lo & Behold Group and Zopim founders Royston Tay, Wu Wenxiang, and Kwok Yang Bin.
  • advised Doyobi, a Singapore-based edtech start-up in its fundraising rounds including its latest US$2.8M pre-Series A funding round led by Monk’s Hill Ventures with participation from Tres Monos Capital, Novus Paradigm Capital and XA Network, along with angel investors like Carousell chief executive officer Quek Siu Rui, Glints co-founders Oswald Yeo and Seah Ying Cong and Grab Financial Group head Reuben Lai.
  • advised CoderSchool, a Vietnam-based online coding school startup, in its US$2.6 million pre-Series A funding round led by Monk’s Hill Ventures with participation from returning seed investors Iterative, XA Network and iSeed Ventures. The funding will be used to accelerate its online teaching platform growth and technology infrastructure expansion for the company’s technical education programs that guarantee employment upon graduation.
  • advised Neuroglee Therapeutics, a Singapore-headquartered provider of digital therapeutics for people with neurodegenerative diseases, in its fundraising rounds including its latest US$10 million Series A funding round led by Openspace Ventures and EDBI with participation from Raman Singh, ex-CEO of Mundipharma, Biofourmis co-founders Kuldeep Singh Rajput and Wendou Niu, and pharmaceutical firm Eisai. The funding will be used to launch virtual neurology clinics for patients diagnosed with mild cognitive impairment related to difficult-to-treat conditions such as Alzheimer’s disease, while also advancing its digital therapeutics pipeline.
  • advised Nansen, an analytics platform for blockchain which combines on-chain data with a massive and constantly growing database containing millions of wallet labels, in its US$12 million Series A round led by Andreessen Horowitz (a16z). This will be a16z first investment into South-East Asia and Singapore and signifies the growth of cryptocurrency in the region.
  • advised Vara, an Indonesia-based lightweight mobile platform (with its mobile application Bukugaji) that modernises traditional human capital workflows for micro, small and medium enterprises (MSMEs) in Indonesia, in its US$4.8 million seed investment round led by Go-Ventures with participation from existing investors RTP Global, AlphaJWC, SCI’s Surge, FEBE Ventures and Taurus Ventures.
  • advised The Lo and Behold Group in the sale of its supermajority stake in Straits Clan, a prestigious private members’ club situated in an iconic heritage building along Bukit Pasoh in Singapore, to the Mandala Group, a real estate development, hospitality and lifestyle group with properties and F&B brands in Bali, Niseko and Singapore.
  • advised BukuKas, an Indonesia-based digital ledger application for micro, small and medium enterprises (MSMEs) in Indonesia, in its fundraising rounds including its latest US$50 million Series B round with participation from DoorDash’s Gokul Rajaram and TransferWise founder, Taavet Hinrikus, bringing the total funds raised to US$80 million. The investment will allow BukuKas to hire for its engineering and product teams in Jakarta and Bangalore, and launch new services for merchants. The app has onboarded about 6.3 million businesses so far and now has a total of 3 million monthly active users. It annualized bookkeeping transaction volume is US$25.9 billion, or about 2.2% of Indonesia’s gross domestic product. BukuKas’ goal is to become an end-to-end software stack for MSMEs and serve 20 million MSMEs by the end of 2022, with inventory management, invoicing, payment-related analytics and other tools. Its bigger vision is to make one of the best SME-centric neobanks.
  • advised Mediaload, a Mekong-based digital media business in its fundraising rounds includings its latest Series A funding round with the True Digital Group (TDG), the digital, analytics and related technologies business arm of the Thai conglomerate CP Group involving a strategic collaboration on their TrueID mobile application and expansion into strategic markets in the region.
  • advised ABM Respiratory Care, a Singapore-headquartered medical device technology start-up focussed on respiratory solutions in its US$10 million Series A funding round with the Advanced MedTech Group together with SEEDS Capital and Yoh Chie Lu involving a partial share buyback from existing seed investors.
  • advised Ecquaria Technologies, a leading digital government turnkey solution provider for Singapore, and its management shareholders in the sale of the company to Toppan Leefung, the Singapore national government printer, which has evolved into extensive service offerings from traditional printing to advertising and packaging material supply. Toppan Leefung is a wholly-owned subsidiary of Toppan Printing Co., Ltd., the world’s largest printing conglomerate listed on the Tokyo Stock Exchange.
  • advised Travelstop, a business travel tech start-up in its US$3 million pre-Series A investment round led by VC-firm Accel together with Strive (formerly GREE) and SeedPlus.
  • advised Groupin, a Mekong-based e-commerce and media group, in its US$5 million Series A funding round led by Belt Road Capital Management.
  • advised Ekuiti Nasional Berhad in the acquisition of a significant stake in and investment into Exabytes Group, South-East Asia’s largest cloud service provider for small and medium enterprises, which valued the Group  at approx. RM144 million.
  • advised the founder of Henderson Security, a leading home-grown security and facilities management services firm, in the proposed sale to Security and Intelligence Services (India) Ltd listed on the India Stock Exchange for an aggregate consideration of approx. S$71.6 million.
  • advised Shiji Group a leading IT-solutions provider listed on the Shenzhen Stock Exchange in its acquisition of Concept Software Systems, a leading Golf, Spa and Hotel POS (Pantry) solutions providers for luxury hotels around the world.
  • advised Accuron MedTech Group (a subsidiary of Temasek Holdings), STMicroelectronics and other vendors in the auction sale of Veredus Laboratories to Japan’s Sekisui Chemical a global leader in molecular diagnostics which represents one of the largest biotech exits in Singapore.
  • advised Accuron MedTech Group as the lead investor in the S$2.6 million Pre-Series A funding round of Advent Access.
  • advised Singapore-headquartered advertising technology company, AdAsia, in its US$14 million Series A funding round involving JAFCO Asia with a greenshoe option that was offered to Hisanori Watanabe and Gunosy in what is believed to be the largest Series A financing round for an adtech company in Asia (outside of China).
  • advised Founder David Low and Heliconia Capital (a subsidiary of Temasek Holdings) in their sale of Futuristic to V3 Group (owned by Ron Sim, founder of Osim Group) for approx. S$75 million.
  • advised Indonesian-based online healthcare ecosystem platform, HaloDoc, in its US$13 million Series A funding round involving Clermont Group, Go-Jek, Blibli.com and NSI Ventures.
